  • 1.  M&A in order to reinvent business?

    Hi!

    I am curious how many have been involved in M&A where part of the outcome of the M&A activity was actually to reinvent part of the business to stay relevant versus just expand their footprint or other requests. 

    Anyone? What are the most common 'cases' for why your company or companies you support are doing M&A today?

    Hi Leslie

    Has a risk assessment of this activity been completed? M&A drivers (geographic expansion, backward integration, forward integration etc) can lead to different strategic risks. The M&A due diligence that you put in place will help to ensure that the M&A integration is a success.  Reinvention of the business will have a higher strategic and execution risk from a risk management and project management perspective and the due diligence should reflect this. However, the change management risks will also be high - integrating people into a new structure will always be a challenge whether or not it is a geographical expansion or expansion into a new product or business line.

    Hi Leslie,

    The two most common M&A strategies in acquisitions over the past few years have been to buy versus build and gaining or expanding geographic presence.  I'd be interested to hear from others how common and in what industries people are seeing reinvention of business as their drivers.

    Hi Becky,

    We have acquired past companies to expand our services with either a new technology or platform. To me, its a LOT more involved than just acquiring headcount and integrating cultures, now we're having to update our entire company identity with this new offering - that impacts more than just the acquired team and the one integrating them! We have to update everything from our company site, educate our entire employee base on what this is, what it does, and how it impacts them, etc.
